Nonpublic Personal Information and Foreign Data Protection

Worker acknowledges that Thareja Technologies Inc. (“Thareja Technologies Inc.”) may be subject to privacy regulations under domestic or international law, pursuant to which regulations, if applicable, Thareja Technologies Inc. is required to obtain certain undertakings from Worker with regard to Thareja Technologies Inc.’s personnel data and/or customer data (“Protected Data”). Therefore, notwithstanding anything to the contrary contained herein, Worker agrees that (i) it shall not disclose or use any of Thareja Technologies Inc.’s Protected Data except to the extent necessary to carry out its obligations hereunder and for no other purpose, (ii) it shall not disclose Thareja Technologies Inc.’s Protected Data to any third party without the prior consent of Thareja Technologies Inc. and an agreement in writing from such party to use or disclose such Thareja Technologies Inc’s Protected Data only to the extent necessary to carry out Worker’s obligations under this Agreement and for no other purposes, (iii) it shall maintain, and shall require all third parties approved under subsection (ii) to maintain, effective information security measures to protect Thareja Technologies Inc.’s Protected Data from unauthorized disclosure or use, and (iv) it shall provide Thareja Technologies Inc. with information regarding such security measures upon the reasonable request of Thareja Technologies Inc. and provide Thareja Technologies Inc. with information regarding any failure of such security measures or any security breach related to Thareja Technologies Inc.’s Protected Data for which it has knowledge. The parties agree that if there is a breach by Worker of this provision it shall give Thareja Technologies Inc. notice as soon as possible so that Thareja Technologies Inc. can give appropriate notice to any governmental body and client as required by law or contract
